Netgem TV now at Octaplus in Hull

C5. Conservative valuation suggests significant upside

To value Netgem which is in essence a growing technology business, we can reasonably use the EV/EBITDA approach based on a conservative projection.

Gross profit. Given the multiple drivers of growth I believe that Netgem can maintain at least a 15% growth guidance in 2021 over the next few years. This 15% guidance incorporates the impact of the global shortage of certain electronic components. Let's assume 15% growth for future year for the sake of conservatism.

Operating expense. Despite gross profit growth, Netgem is able to reduce cost in 2021 thanks to the restructuring and cost savings at Vitis. These activities are still ongoing so we should be able to see further benefits. Putting this upside aside, after the cost of goods sold, Netgem is a basically a fixed-cost business thanks to its focus on software development and B2B distribution. For conservatism, I assume the increase in expense corresponds to 25% of gross profit increase or an implied marginal EBITDA / Gross Profit of 75%.

EV. To estimate EV, I conservatively use a multiple of EV/EBITDA of 15x, which could be considered to be low for a growing technology business. We observe much higher multiples in similar businesses below.

Net Cash. Net cash of €4.3M at the end of June 2021 is adjusted in the calculation.

Minority Interest. 47% of Vitis is owned by other shareholders (Groupe Caisse de Dépôts and Océinde). I conservatively assume this minority part represents 20% of Netgem value despite the fact that the Europe ex. France, notably in the UK, have a much better profitability and growth prospect.

From October, TalkTalk will partner with Netgem to bring a new set-top box and selection of channels to its customers!

Unlike Sky Q, Netgem doesn’t rely on a satellite dish, but instead simple plugs into your broadband connection.

Since Netgem streams everything over your internet connection, the telly box won’t be available to those with slower broadband plans from TalkTalk.

Recurring revenues represent 90% of the activity, with 320,000 subscribers to the group's Content-as-a-service platform. 

Gross profit growth of 20% in the first half of 2021

This growth is accompanied by a return to profitability with EBITDA reaching € 2.0m (H1 2020: - € 0.3m) and a significant improvement in net cash (€ 4.3m at June 30, 2021 vs. € 1.8m at the end of 2020). 

The company raises its annual objectives, anticipating gross profit growth in 2021 of about 15%, compared to 10% as announced previously.

  In the United Kingdom, the Group is experiencing growing success, which it hopes to translate in the second half of the year into new partnerships with leading players, which would allow the Group to increase its visibility in 2022.

The Netgem Board of Directors of July 29, 2021 approved the accounts for the first half of 2021. For Mathias Hautefort, CEO of Netgem, “Our business model has stabilized. "NETGEM présente son chiffre d’affaires et sa marge brute du premier trimestre 2021.

La transformation de l’activité du Groupe est dorénavant complète. Sur le trimestre écoulé, le chiffre d’affaires s’élève à 7,1M€ et est constitué quasi-exclusivement de contrats de services récurrents NetgemTV. Il est en baisse de 12% par rapport au trimestre comparable en 2020, qui intégrait encore une part non négligeable de vente d’équipements.
La marge brute du premier trimestre 2021 est en hausse de 11%. Elle reflète la contribution du parc d’abonnés actifs, en croissance sensible sur les 12 derniers mois. Le Groupe estime que la croissance de la marge brute pour l’ensemble de l’année 2021 pourrait se maintenir à un taux comparable à celui observé lors du premier trimestre soit de l’ordre de 10%."

Le CA (chiffre d'affaires) n'est plus le indicateur, pour evaluer la santé de Netgem (aprés 2019)!

 ==> mais si la "Marge Brute" est la nouvelle reference!


=> Le nouveau modèle de activité* de Netgem, (changement, commencé en 2018-2019) fait la croissance des résultats plus lente et pas explosive come dans le passé, mais ce qui importe ici est donc est une croissance recurrente récurrente et durable (proportionnelle à la croissance de la base d'abonnés actifs)!!!

*En effet, l'application de ce nouveau modèle décale dans le temps la reconnaissance de marge : passage d'un mode "licence" (marge unique et proportionnelle à l'acquisition de nouveaux abonnés) à un mode "Software as a service" (marge récurrente et proportionnelle à la base d'abonnés actifs).
Ce nouveau modèle d'affaires aligne mieux les intérêts de Netgem avec ceux de ses clients opérateurs.

Netgem H1 2020 results

The accounts for H1 2020, approved by the Board of Directors on July 30, 2020 and presented below, are the first to reflect the new consolidated scope including the control of Vitis-Videofutur, and translating in the figures the withdrawal from the equipment supplier business and the strategic reorientation towards the services started several years ago. 

This semester was marked by the following events
● Major change in scope with strategic refocusing and synergies. 
● Good resilience to the Covid crisis. 
● Acquisition finalized in early July of a very high-speed subscriber base.


Resilience of the business:

  • In the first half of 2020, Netgem demonstrated the resilience of its market and its business model. Thus, its turnover and net income remained at levels very close to those of the 1st quarter, despite the consequences of the Covid-19 crisis. More generally, the epidemic has not had a significant impact on strategic orientations, performance, cash flows and balance sheet aggregates.
  • On the French market, the slowdown in customer acquisitions in the 2nd quarter was partially offset by the decrease in churn rate on the existing subscriber base and by a significant consumption of video on demand (+50%).
  • In Great Britain, NetgemTV was launched commercially with fiber operators Pure telecom, Origin and Gigaclear.
  • Finland was little impacted by the crisis and sales of the service Elisa Viidhe Premium remained strong on that market.


Outlook for the second half of 2020: 

  • In France, Netgem anticipates that the deteriorating economic context could lead to pressure on the acquisition of new subscribers. Conversely, the strong trends in teleworking reinforce the importance of fiber in lower density territories, the Group's natural market in France. 
  • The contribution of new operator partners in the United Kingdom, continued growth in Finland and the impact of the acquisition of Comcable's business should reduce the consequences of this uncertainty, and should make it possible to post sequential growth on the second semester. In addition, the operational synergies made possible by the change in consolidation scope should demonstrate their first effects by a reduction in the structure of fixed costs from the second half of this year. 
  • NETGEM thus has the assets to emerge stronger from this economic and health crisis, primarily because of its agile organization, its new market positioning - Fiber and digital - and its good financial health.
